Please read these Terms and Conditions (“Terms”, “Terms of Service”) carefully before making any purchase from Dina Mande Studios, a DBA of Juice Media Productions, LLC (“Company”). By purchasing from us, you (“Participant”) agree to these Terms as of the Effective Date (defined below). If you do not agree to these Terms, you may not access or purchase any of our Services.
These Terms may be updated periodically. We encourage you to review this page for updates. Continued use of our services after changes to these Terms will constitute your acceptance of the modified Terms. Our services are provided through our website hosted on [your website platform], with payment processing through [your payment platform].
SECTION 1: SERVICES
Company Services.
Dina Mande Studios agrees to provide certain Services (“Services”) as detailed on the checkout page. These Services are not a subscription or membership unless specified. All Services are provided virtually unless otherwise stated. Access to courses, workshops, and content will be delivered through our member portal, and if applicable, Participant will receive login credentials to access the Services upon purchase.
We reserve the right to offer pre-recorded content instead of live programs when necessary. Group coaching calls (“Group Calls”) will occur as posted in the member portal, but schedules may change at our discretion. These calls will last about 60 minutes and include coaching, hot seats, and discussions. Attendance is encouraged but not required, and we may mute participants when necessary.
We also offer support through a private Facebook group where we aim to respond within 3 business days during normal business hours (Monday – Friday, 10:00 AM – 4:00 PM PST). No direct messages on social media will be answered.
Bonuses and Add-Ons.
Bonuses or additional materials may be offered for full payments or early bird pricing but are only guaranteed at the time of purchase. These bonuses are non-transferable, expire at the end of the Term, and may be removed or archived by the Company at any time without refund.
Participant Services.
During the Term, Participant agrees to cooperate fully with the Company, participate in all activities, and maintain professional behavior. Disruptive or inappropriate conduct, including excessive dominating of Group Calls or use of profanity, may result in being removed from the Services at our discretion.
SECTION 2: FEES & PAYMENTS
Fees.
Participant agrees to pay the full amount specified at checkout for the Services. Payment can be made via credit card or other electronic methods. If opting for a payment plan, Participant remains responsible for the full purchase price.
Late Payments.
Any overdue payments will incur interest at 5% per year.
Refunds and Cancellations.
All Services purchased are non-refundable and non-transferable. Due to the digital nature of our Services, we do not provide refunds. Any refund granted due to an error in discounts or promotional codes will be processed via PayPal and subject to transaction fees. Refunds are not guaranteed and are at the sole discretion of the Company.
Credit Card Authorization.
Participant authorizes Dina Mande Studios to charge the payment method provided at checkout. Should payment information need to be updated, it must be done at least 14 days before the next payment date. A 3% fee will apply for any changes after a charge has been made.
SECTION 3: TERM AND TERMINATION
The term of this Agreement begins on the Effective Date and will continue until terminated as outlined below.
Termination for Cause by Company.
We may terminate this Agreement if Participant breaches any provision and fails to cure within 7 days after notice.
Termination for Cause by Participant.
Participant may terminate this Agreement if the Company materially breaches the Services provision and fails to cure within 14 days.
Chargebacks.
Any attempt by the Participant to initiate a chargeback will be considered a breach of this Agreement. We reserve the right to pursue all legal remedies for unpaid amounts, including any associated fees.
Effect of Termination.
Termination does not relieve Participant of any outstanding fees owed for Services provided up until termination.
SECTION 4: RESTRICTIVE COVENANTS
Confidential Information.
Participant acknowledges that they will have access to confidential business information and agrees not to use or disclose such information for any purpose other than as expressly allowed by the Company.
Non-Solicitation.
For a period of 2 years after termination, Participant agrees not to solicit clients, potential clients, or employees of the Company, nor to engage in any competitive business without written consent from the Company.
SECTION 5: DEFAULT AND REMEDIES
Remedies.
In case of breach, the Company reserves the right to seek all available remedies, including attorney’s fees and litigation costs.
Law, Jurisdiction, and Venue.
This Agreement will be governed by the laws of the State of California and any disputes will be resolved in the courts located within California.
Dispute Resolution.
The Parties agree to attempt to resolve disputes through written notice, followed by mediation if necessary, before pursuing legal action.
SECTION 6: DISCLAIMERS; LIMITATION OF LIABILITY
Warranty Disclaimer.
Services are provided “as is” without any express or implied warranties. We do not guarantee specific results from using our Services, and success is dependent on individual effort and circumstances.
Limitation of Liability.
Dina Mande Studios is not liable for any indirect, incidental, or consequential damages. The total liability is limited to the amount paid for the Services.
SECTION 7: INDEMNITY
Participant agrees to indemnify and hold harmless Dina Mande Studios and its affiliates from any claims arising from their breach of this Agreement.
SECTION 8: MISCELLANEOUS
Amendments.
These Terms may be modified in writing by the Company. No oral modifications will be valid.
Assignment.
The Company may assign its rights and obligations under this Agreement. Participant may not assign their rights without written consent.
Severability.
If any provision of this Agreement is found invalid, the remaining provisions will remain in effect.
Publicity.
Participant grants Dina Mande Studios the right to use any materials, comments, or media shared with the Company for marketing and promotional purposes.
